Digital Distribution Agreement

DIGITAL DISTRIBUTION AGREEMENT

This Agreement is entered into between:

Waves Music Group ("Distributor", "We", "Our", "Us")
and
[Artist/Label Name] ("Licensor", "You", "Your").

1. Appointment

You appoint Waves Music Group as your exclusive/non-exclusive digital distributor for the Licensed Content during the Term of this Agreement. We will deliver and monetize your music on approved digital platforms worldwide.

2. Rights Granted

You grant us the non-transferable, worldwide right to:

• Distribute, sell, stream, and otherwise exploit the Licensed Content through digital platforms (Spotify, Apple Music, YouTube, TikTok, etc.).
  
  

• Use the name, artwork, trademarks, and metadata associated with the Licensed Content for promotional purposes.
  
  

• Collect all royalties and revenues generated from exploitation of the Licensed Content during the Term.
  
  

3. Ownership

• All copyrights in the Licensed Content remain with you.
  
  

• You warrant that you own or control all rights in the Licensed Content and have the authority to grant this license.
  
  

• You will be solely responsible for clearing all necessary third-party rights (e.g., samples, features, publishing).
  
  

4. Term & Territory

• Term: [3] years from Effective Date, automatically renewing unless either party provides written notice [30/60 days] prior to expiration.
  
  

• Territory: Worldwide unless otherwise agreed in writing.
  
  

5. Royalties 

• We will pay you [70%] of Net Revenues collected from digital platforms.
  
  

• Net Revenues means gross income actually received by us from platforms, minus applicable platform fees, transaction costs, and agreed administrative fees.
  
  

• Payments will be made [monthly/quarterly] once the minimum payout threshold of [e.g., 100 EUR ] is reached.
  
  

• All payments will be accompanied by detailed royalty statements prepared by Waves Music Group.
  
  

6. Statement Preparation & Branding

• All royalty statements, payment summaries, and financial reports are prepared exclusively by Waves Music Group.
  
  

• All such documents will include Waves Music Group branding and logo, including those issued to sub-clients of our partners.
  
  

• Partners may not alter or remove branding from official statements.
  
  

7. Payment Methods

We support the following payment methods:

• Bank transfer (SWIFT/IBAN)

• Payoneer

Note: Payment processing fees charged by banks or payment providers are the responsibility of the payee.

8. Online Information Console (Client Portal)

The Distributor provides the Artist/Label with an online information dashboard (“Portal”), which is a platform for tracking key project data.Through the Portal, the Artist can view:the release status of his songs,summary information on the income received,basic statistics on sales and listening,information on new releases, documents and records.The Portal is provided in Excel/Google Sheets format and is regularly updated by the Distributor.The data presented in the Portal is for informational purposes only and does not constitute an official financial reporting document.

9. Anti-Fraud Compliance

• Artificial streams, fake downloads, or any fraudulent activity are strictly prohibited.
  
  

• If fraudulent activity is detected, we may withhold payments, remove content, terminate this Agreement, and report the activity to relevant authorities.
  
  

10. Warranties & Indemnities

You warrant that:

• You have full authority to enter this Agreement.
  
  

• The Licensed Content does not infringe any third-party rights.
  
  

• You will indemnify and hold us harmless from any claims, damages, or expenses arising from breach of these warranties.
  
  

11. Termination

We may terminate this Agreement immediately if:

• You breach any term of this Agreement.
  
  

• Fraudulent activity is detected.
  
  

• Required by law or by a platform partner.
  
  

You may terminate with [30/60 days] written notice after the initial Term.

12. Governing Law

This Agreement will be governed by and interpreted in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.

13. Entire Agreement

This document constitutes the entire understanding between the parties and supersedes any prior agreements, whether oral or written.
